Samvardhana Motherson International to obtain assets and shares of Dr Schneider Group entities

Auto components maker Samvardhana Motherson International Ltd announced on Monday that it will acquire the assets and shares of entities belonging to Germany’s Dr Schneider Group, with an overall enterprise value of around 118.3 million euros (over Rs 1,070 crore). The acquisition will be conducted by Samvardhana Motherson Automotive Systems Group BV (SMRPBV), a wholly-owned subsidiary of Samvardhana Motherson International Ltd. The company entered into an agreement to acquire these assets and shares from Dr Joachim Exner, the insolvency administrator, as stated in a regulatory filing.

The Dr Schneider Group is a manufacturer of high-end and innovative electronic interior polymer components and systems, including smart surfaces and lighting modules. The company is known for its expertise in air-vents, decorative interior polymer components with illumination, and its strong presence in premium vehicles. It operates in seven facilities across five countries including Germany, Spain, Poland, USA, and China, employing approximately 4,500 people. The cost of the acquisition is approximately 118.3 million euros, subject to customary adjustments and actualizations. For assets purchased in Germany, the estimated enterprise value is 69.1 million euros, while for shares of overseas subsidiaries it is 49.2 million euros.

Motherson Chairman Vivek Chaand Sehgal expressed enthusiasm about the acquisition, stating, “We see a lot of synergies and untapped potential in this business, especially on the R&D side. We are looking forward to welcoming 4,500 people on our journey towards our Vision 2025 and beyond.” Motherson highlighted that Dr Schneider Group places a strong emphasis on research and development, resulting in over 200 patents. More than 90% of their products are developed in-house by a dedicated team of over 240 engineers who work at their fully equipped R&D centre in Germany. The acquisition will grant Motherson access to innovative electronic interior polymer components and enable the company to offer these technologies to emerging countries and medium segment customers by leveraging its existing global footprints and customer relationships.
